1. Service Overview

HK KEYLUZ Trading Co., Ltd ("KEYLUZ", "we", "us", or "our") provides sourcing, inspection, audit, and procurement support services to international buyers seeking products from Chinese manufacturers. By engaging our services, you ("Client", "Customer") agree to the terms outlined below.

2. Scope of Services

Our services include but are not limited to:

  • Supplier Sourcing & Verification — Identifying and vetting manufacturers based on client specifications.
  • Factory Audit — On-site inspection of manufacturing facilities, capabilities, and compliance.
  • Inspection Services — Pre-production, during-production, and pre-shipment quality inspections.
  • Procurement Support — End-to-end purchasing management, negotiation, and order tracking.

3. Engagement Terms

All services are provided on a pay-as-you-go basis. There are no long-term contracts, retainers, or minimum commitments required. Each service engagement is confirmed via email or written agreement specifying:

  • Scope of work and deliverables
  • Timeline and milestones
  • Fee structure and payment schedule
  • Any special requirements or conditions

4. Fee Structure & Payment

Fees are quoted per project or per service engagement. Standard payment terms are:

  • 50% advance payment upon confirmation of engagement.
  • 50% balance payment upon delivery of final report or completion of service.
  • Payment methods: Bank transfer (T/T), PayPal, or other agreed methods.

For procurement services involving product purchases, separate payment terms apply and will be detailed in the specific purchase agreement.

5. Delivery Standards

We are committed to delivering high-quality, timely, and accurate service. Our delivery standards include:

  • Inspection Reports: Delivered within 48 hours of inspection completion, including photos, detailed findings, and recommendations.
  • Factory Audit Reports: Delivered within 5 business days of on-site visit, covering production capabilities, certifications, and compliance status.
  • Supplier Shortlists: Delivered within the agreed timeline (typically 5–10 business days depending on product complexity).
  • Sample Coordination: Samples arranged and shipped within agreed timeframes, with tracking information provided.

6. Quality Assurance

While we conduct thorough inspections and due diligence, KEYLUZ acts as the client's representative and does not assume manufacturer liability. Our role is to verify, report, and advise. Final purchasing decisions and product quality responsibility remain with the manufacturer and the client.

7. Confidentiality

We treat all client information, supplier details, and business communications as strictly confidential. We will not disclose client identities, sourcing strategies, or business terms to third parties without written consent.

8. Limitation of Liability

KEYLUZ shall not be held liable for:

  • Manufacturing defects or quality issues that arise after inspection completion.
  • Delays caused by manufacturers, logistics providers, customs, or force majeure events.
  • Financial losses resulting from business decisions made by the client based on our reports.
  • Intellectual property disputes between the client and suppliers.

Our total liability for any single engagement shall not exceed the total fees paid for that engagement.

9. Cancellation & Refunds

Cancellations made before service commencement are eligible for a full refund minus any incurred expenses. Cancellations after work has begun will be charged proportionally based on work completed. No refunds are issued for completed services.

10. Governing Law

These terms are governed by the laws of the Hong Kong Special Administrative Region. Any disputes shall be resolved through amicable negotiation first, and if unresolved, through arbitration in Hong Kong.
